Terms and Conditions of Sale

1. Introduction

1.1 The platform allows you to purchase online a range of branded products [Honor], including mobile phones, tablets, and personal items (products). In accordance with the Honor Platform Terms of Use between you and Honor, the products offered on the platform are sold by Honor Saudi Trade Co., whose address is located at [6998 King Fahd Rd, Al Olaya Dist., P.O. Box 4540, Riyadh 12331, KSA] (hereinafter, "we" or "Seller").

1.2 We offer purchasing features to both registered and unregistered users of the platform. This Terms and Conditions of Sale is based on and supplement the Website Terms and Conditions (collectively, the "Terms of Sale"), which apply to the entire purchase process, including but not limited to the placing of orders, rejection of offers, formation or cancellation of contracts, and delivery by the Seller on the platform.

1.3 The Terms of Sale are specifically applicable to any natural person and consumers who place an order with the Seller (collectively, the “Consumer” or “you”).

1.4 You must be 18 years of age or older and also possess a valid debit card issued by a bank acceptable to us to place an order. By clicking on the Terms of Sale before submitting the order, as applicable, you acknowledge that you have read and agree to be bound by the Terms of Service.

1.5 Nothing in the Terms of Sale is intended or should be construed to unlawfully restrict, limit, or circumvent any right or obligation, as the case may be, created for you or for the seller under the jurisdiction of the KSA.

2. Formation of the contract of sale

2.1. You can place an order successfully through the platform, with the choice of the product at a certain quantity and sale price. After acceptance of these terms and clicking on [check out] to send your order, the Seller will confirm receipt of your order and subsequently accept it by text message or email. Please note that the submission of your order only constitutes an offer to purchase the product of your choice, and the contract of sale between you and the Seller is formed once the Seller confirms such order.

2.2 The Seller's sale price includes all rights, fees, and other charges applied to sales by the Seller, and VAT (if applicable). The Consumer will assume the fees charged by the bank, card issuer, or other provider chosen by the selected payment option and the consequences arising from such choice.

2.3 All prices and sales information for the products are designed to be accurate and complete. However, errors may occur due to situations beyond our control. Accordingly, the Seller reserves the right to cancel the order if the price shown for a certain product is materially or obviously lower or higher than the current retail price for that product (hereinafter referred to as "Market Price") due to a system error and an order accepted by the Consumer at that price, the Seller will allow the Consumer to cancel the contract and/or refund to the Consumer the difference between the highest price and the Market Price.

3. Execution of the contract

3.1 Each contract must be paid in advance of delivery by credit or debit card or by any other means offered on the platform. The products will only be shipped after the Seller verifies the payment made by the Consumer. Any refund to the Consumer will be made to the same card or other means of payment.

3.2 We use the JINGDONG Logistics (JDL) service to deliver the products to you.

3.3 The shipping cost of the products is specified on the shipping costs page of the platform and specified in the order process. Unless otherwise stipulated in the platform and in the order process, the Seller's delivery and administration costs are included in the final price payable for the products.

3.4 If the Seller is unable to ship the products within the indicated delivery time via the platform or other format, the Seller shall inform the Consumer of this Contract and suggest terminating the Contract, in which case any payment made to the Seller shall be refunded. The Consumer’s other legal remedies are not affected. These include the option to insist on compliance and/or claim damages.

3.5 The risk of loss and damage to the products in the delivery process shall remain in the hands of the Seller until the product is sent to the delivery address designated by the Consumer, at which point the risk shall pass to the Consumer.

4. Warranties of Honor products

For information on the guaranteed product, please see our Warranty Policy. The warranty policy is added to these terms for reference (meaning that it is part of these Terms of Use).

5. Consumer rights

5.1 The Seller will deliver the products within a reasonable time after receiving the purchase order from the Consumer, subject to their availability. The delivery date provided by the Seller for the products is only an estimate and is based on the immediate receipt of all necessary information from the Consumer.

5.2 The Seller shall ensure that all information provided by the Seller about the products and itself on this platform remains true, up-to-date, complete, and accurate.

5.3 The Seller may modify and update the information about its products displayed on the platform and is responsible for designing, creating, managing, and modifying graphics or product images in accordance with its policies.

5.4 The Seller shall disable products on the platform that are in stock for extended periods until they become available again.

5.5 The Seller must comply at all times with all applicable laws, regulations and trade rules regarding the manufacture, packaging and manufacture of the products it sells.

6. Gift vouchers and coupons

6.1 Gift vouchers and coupons can only be redeemed for the purchase of eligible products provided by Honor.

6.2 Eligible products are subject to change at our sole discretion. Refunds of gift vouchers are subject to change at our sole discretion.

6.3 If you redeem a gift voucher and a voucher, it may only be used for the purchase of eligible products on this platform.

6.4 Gift vouchers and coupons may not be reloaded, resold, used for payment outside the Honor platform, or used for commercial, advertising, promotional, or unauthorized purposes.

6.5 Gift vouchers and coupons must be obtained from Honor or authorized third parties. You are responsible for protecting your gift voucher or coupon from unauthorized use.

6.6 Honor is not responsible for the loss, theft, or destruction of gift vouchers or coupons, nor for the use of gift vouchers without your permission.

6.7 In the event that a gift voucher or coupon does not work, your only remedy, and our responsibility, will be the replacement of the gift voucher or coupon.

6.8 Honor reserves the right, without prior notice, to void gift vouchers or coupons without refund, cancel or limit orders and invoice alternative forms of payment if we suspect that a gift voucher or coupon is obtained, used, or applied on this platform fraudulently, illegally, or otherwise in violation of these Terms of Sale.

7. Force majeure

In case of force majeure (e.g., strikes, extreme weather conditions), the Seller's obligations under the Contract are suspended during the period of the force majeure situation.

8. Complaints and conflict resolutions

8.1 Disputes between the Seller and the Consumer arising out of or in connection with the Terms of Use and any contract shall be subject to the laws of KSA, and the parties shall submit any dispute to the exclusive jurisdiction of the competent courts of RIYADH.

8.2 You have the right to lodge a complaint or grievance with the Ministry of Commerce. Honor and you agree that you and Honor may bring a lawsuit before the competent courts of The RIYADH to prevent violations or misuse of intellectual property rights. Honor and you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in class or representative actions.

8.3 If you have a complaint about the handling of the orders or the provision of the Seller's services in connection with your purchase of the products, you may contact the Seller via the telephone numbers, email address, web links, or postal addresses indicated on the platform. In order for the Seller to handle a complaint by phone or email, please provide:

8.3.1. Serial number,

8.3.2. Name and address of the Consumer,

8.3.3. E-mail address,

8.3.4. A description of the reasons for the complaint, and

8.3.5. What resources or actions are required of the Seller

8.4. The Seller will respond to the complaint within 1 day but will not be responsible for addressing or responding to complaints raised through the use of social media (e.g., Facebook, Twitter).

8.5 If a provision of these Terms is found to be invalid or unenforceable, this shall not affect the validity of the other provisions of these Terms.

10. Representations and warranties

1. Neither the you/ your payment gent nor any of its subsidiaries, directors or officers, or, to its best knowledge, any of its affiliate, agent or employee or any of its subsidiaries is an individual or entity (“Person”), that is, or is owned or controlled by Persons that are the subject/target of applicable economic sanctions, regulations, embargoes or restrictive measures (“Sanctions”) enacted, administered, imposed or enforced by the U.S. Department of Treasury’s Office of Foreign Assets Control (“OFAC”), the U.S. Department of State, the United Nations Security Council, the European Union and/or any other relevant governmental institution, agency or authority, as well as applicable local laws and regulations relating to Sanctions, hereafter referred to as “a Sanctioned Person”.

2. You and/or your payment agent warrant that neither the execution nor delivery of, nor the exercise of any rights or performance of, any obligations pursuant to this purchase will result in (i) any violation of any order, law, or regulation to which it is subject, and (ii) any violation of Sanctions by any Person.

3. None of the funds provided or to be provided by you and/or your payment agent shall be from or directly or indirectly in connection with a Sanctioned Person.

4. Neither you and/or your payment agent nor any of its subsidiaries, directors, or officers, or, to its best knowledge, any of its affiliates, agents or employees, or any of its subsidiaries, has engaged in any activity or conduct that would violate any law or regulation under any applicable jurisdiction that relates to the prevention of money laundering or terrorist financing (“AML CTF Laws”).

5. You and/or your payment agent jointly declare and undertake to Honor that the processing of payment or other transaction with Honor will not breach any Sanctions or AML CTF Laws.

6. (If applicable)You and/or your payment agent undertake to Honor that (i) it has obtained such approvals or made such registration with the State Administration of Foreign Exchange or any other competent authorities as necessary in order to enter into, execute, deliver, or perform under the Agreement; (ii) processing of any transaction by Honor in accordance with its instructions will not result in any violation of any applicable laws and regulations in relation to foreign exchange control.

7. You and/or your payment agent agree that Honor may delay, block, or refuse to process any payment or other transaction without incurring any liability if Honor reasonably suspects that (i) the payment or other transaction is to breach any applicable Sanctions or AML CTF Laws, or (ii) the transaction may directly or indirectly involve the funds of, or be applied for the purposes of, unlawful conduct under Sanctions or AML CTF Laws.

8. Require you and/or your payment agent to promptly provide any information to Honor that Honor reasonably requests in order to process a payment or other transaction and to manage any risk and comply with all of its obligations in connection with Sanctions and AML CTF Laws.

9. You and/or your payment agent hereby jointly and severally undertakes that in the event of any breach or failure to comply with undertakings aforesaid, the you and/or your payment agent shall be liable for damages caused to Honor, including but not limited to any direct and indirect losses, fines, penalties, costs, expenses, attorney fees, liabilities and compensations suffered or undertaken by Honor incurred by reason of Terms and Conditions of Sale.
